Good Governance Needs Both Sides of the Table
Iโve been thinking a lot lately about the relationship between ๐๐ผ๐ฎ๐ฟ๐ฑ๐ ๐ฎ๐ป๐ฑ ๐ผ๐ฝ๐ฒ๐ฟ๐ฎ๐๐ถ๐ผ๐ป๐ฎ๐น ๐๐ฒ๐ฎ๐บ๐.
One thing I hear surprisingly often is:
โ๐ง๐ต๐ฒ ๐๐ผ๐ฎ๐ฟ๐ฑ ๐ท๐๐๐ ๐ฐ๐ฟ๐ฒ๐ฎ๐๐ฒ๐ ๐บ๐ผ๐ฟ๐ฒ ๐๐ผ๐ฟ๐ธ ๐ณ๐ผ๐ฟ ๐๐.โ
And I wonder how we shift that mindset.
Because the Board is there to ๐ต๐ฒ๐น๐ฝ, ๐ป๐ผ๐ ๐ต๐ถ๐ป๐ฑ๐ฒ๐ฟ.
Their job is to govern. To ๐ฝ๐ฟ๐ผ๐๐ฒ๐ฐ๐, ๐๐๐ฝ๐ฝ๐ผ๐ฟ๐ ๐ฎ๐ป๐ฑ ๐ฐ๐ต๐ฎ๐น๐น๐ฒ๐ป๐ด๐ฒ the organisation and the people doing the work.
When directors step up to the Board table, they take on significant responsibility and, sometimes, personal risk. Ultimately, ๐๐ต๐ฒ ๐ฏ๐๐ฐ๐ธ ๐๐๐ผ๐ฝ๐ ๐๐ถ๐๐ต ๐๐ต๐ฒ๐บ.
So naturally, ๐ฎ ๐ธ๐ฒ๐ ๐ท๐ผ๐ฏ ๐ผ๐ณ ๐ฎ ๐ฑ๐ถ๐ฟ๐ฒ๐ฐ๐๐ผ๐ฟ ๐ถ๐ ๐๐ผ ๐ฎ๐๐ธ ๐พ๐๐ฒ๐๐๐ถ๐ผ๐ป๐.
And a key job of operational staff is to help answer them.
Even better, anticipate those questions in your Board papers. Happy days for everyone!
What does the Board need to know? Why does it matter? What has changed? What are the risks? What do you need from them? Is there a decision to make?
And if your report is taken as read with no questions? Take it as a compliment. You must have written a pretty good report!
The Board brings ๐ท๐๐ฑ๐ด๐ฒ๐บ๐ฒ๐ป๐, ๐๐ถ๐๐ฑ๐ผ๐บ, ๐ฒ๐ ๐ฝ๐ฒ๐ฟ๐๐ถ๐๐ฒ and that all important ๐ต๐ฒ๐น๐ถ๐ฐ๐ผ๐ฝ๐๐ฒ๐ฟ ๐๐ถ๐ฒ๐.
Operations brings the ๐ด๐ฟ๐ผ๐๐ป๐ฑ ๐๐ฟ๐๐๐ต: what is actually happening, what is practical and what the consequences might be.
Good governance needs both.
Respecting the Boardโs role doesnโt mean simply agreeing with them either. Ask them to explain the why. Respectfully challenge an assumption. Give them the operational context they might not have.
Sometimes the Board may still make a different call.
Thatโs their job.

Perhaps the biggest shift is to stop seeing the Board as another layer of work and start seeing them as a ๐ฟ๐ฒ๐๐ผ๐๐ฟ๐ฐ๐ฒ ๐๐ผ ๐๐๐ฝ๐ฝ๐ผ๐ฟ๐, ๐ฐ๐ต๐ฎ๐น๐น๐ฒ๐ป๐ด๐ฒ ๐ฎ๐ป๐ฑ ๐๐ฎ๐น๐ถ๐ฑ๐ฎ๐๐ฒ ๐๐ผ๐๐ฟ ๐๐ผ๐ฟ๐ธ.

Get that relationship right and everyone does their job better.
